Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and AnimaScribe ("Company," "we," "us," or "our"), a legal entity registered and operating under the laws of Poland, with its principal place of business in Warsaw, Poland.

These Terms govern your access to and use of the Auralis ecosystem, including the Desktop Application (the "Software"), the website auralis.technology, and all associated AI interactions (collectively, the "Services").

2. The Nature of the Service & Agentic Capabilities

2.1. AI-Powered Assistance

Auralis is a "Proactive AI Work Companion." It utilizes third-party Large Language Models (LLMs) and Multimodal Models (e.g., Google Vertex AI, Gemini) to process audio, visual, and text inputs. By using the Service, you acknowledge that you are interacting with an artificial intelligence system, not a human.

2.2. Model Context Protocol (MCP) & Local Execution (CRITICAL RISK ACKNOWLEDGMENT)

Auralis supports the Model Context Protocol ("MCP"), allowing the AI to interface with your local file system, databases, and external applications.

• User Control: You retain sole discretion over which MCP servers/tools you install and connect.
• Write Access Warning: If you enable MCP tools with write, edit, or delete capabilities (e.g., filesystem-server), you grant the AI permission to modify your data.
• Waiver: You expressly agree that AnimaScribe is not liable for any data loss, file corruption, system instability, or unintended execution of code resulting from AI actions via MCP. You are responsible for maintaining backups of any data exposed to Auralis.

2.3. AI Probabilities & "Hallucinations"

AI models are probabilistic. Auralis may confidently generate incorrect information, buggy code, or misleading instructions ("Hallucinations").

• No Reliance: You agree not to rely on the Services for critical medical, legal, financial, or safety-critical decision-making.
• Code Verification: You are responsible for reviewing, testing, and verifying all code or technical commands generated by Auralis before execution.

3. Account, Access, and Security

3.1. Registration

You must register via our authentication providers (e.g., Supabase, Google Auth). You agree to provide accurate registration data.

3.2. Seat Licensing (B2B)

Unless otherwise specified in an Enterprise Agreement, your subscription is a single-seat license. Sharing account credentials with multiple individuals is a violation of these Terms and grounds for immediate termination.

4. Subscriptions, Payments, and Refunds

4.1. Payment Processing

We use Stripe as our Merchant of Record. By subscribing, you agree to Stripe’s terms of service. We do not store your full credit card details.

4.2. Usage Limits & Fair Use

We reserve the right to enforce quotas on "Voice Seconds" and "Vision Seconds" based on your tier.

• Throttling: Excessive usage that degrades service quality for others may result in temporary throttling.
• API Costs: In the event of extreme upstream price hikes by AI providers, we reserve the right to adjust quota limits with 30 days' notice.

4.3. Refund Policy & Right of Withdrawal (EU)

• Consumer Waiver: By purchasing a subscription and immediately accessing the digital content (the AI service), you expressly acknowledge that you lose your 14-day EU Right of Withdrawal once the service performance has begun.
• Satisfaction Guarantee: Notwithstanding the above, we offer a 7-Day Money-Back Guarantee for first-time subscribers who encounter technical incompatibility issues that our support team cannot resolve.

5. Intellectual Property & Data Ownership

5.1. Ownership of Output

Between you and AnimaScribe, you own the output generated by the Services based on your inputs, to the extent permitted by applicable law. You are responsible for ensuring that your use of the output does not violate third-party rights.

5.2. Your Inputs

You represent that you have the necessary rights to the audio, video, and screen content you stream to Auralis. You grant us a limited, non-exclusive license to process this data solely for the purpose of providing the Service.

5.3. Our IP

The Auralis Desktop App (including the "Glassmorphism" design system, audio visualizers, and proprietary context-windowing algorithms) is the property of AnimaScribe. You agree not to reverse engineer, decompile, or create derivative works of the Software.

6. Privacy & Data Handling

6.1. Ephemeral vs. Persistent Data

• Streaming Data: Audio and Video streams are processed via ephemeral tokens and are not permanently stored by AnimaScribe, though they may be processed by our AI Sub-processors (e.g., Google) subject to their retention policies.
• Memory & Context: To provide the "Work Companion" experience, Auralis stores summarizations, embeddings, and user preferences ("Memories") in our database (Supabase). You may delete these memories at any time via the User Dashboard.

7. Third-Party Dependencies

The Service relies on third-party availability (e.g., Google Cloud Platform, Vercel). We offer no uptime guarantee for disruptions caused by these third-party providers.

8. Limitation of Liability

8.1. Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANIMASCRIBE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS (WHETHER IN CONTRACT OR TORT) SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO ANIMASCRIBE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8.2. Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA (ESPECIALLY VIA MCP), LOSS OF PROFITS, OR SERVICE INTERRUPTION.

8.3. Beta Acknowledgment

If you are using a "Beta" or "Preview" version of the Software, you acknowledge that it may contain bugs and is provided "AS IS" with no warranties whatsoever.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Poland.

• Consumer Disputes: If you are an EU consumer, you may have rights to bring claims in your local courts.
• Business Disputes: Any commercial disputes shall be subject to the exclusive jurisdiction of the courts in Warsaw, Poland.

10. Modifications

We may update these Terms. If a change materially reduces your rights, we will notify you via the App or Email. Continued use constitutes acceptance.
